1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AstraNex Ventures LLC ("Company," "we," "us," or "our"), operating Listaza.app ("Service," "App," or "Platform").

By accessing or using Listaza.app, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Listaza.app is an AI-powered marketplace listing generator that helps users create optimized product listings for eBay and Facebook Marketplace. The Service includes:

Market-based pricing suggestions
Image processing and optimization
Listing export and clipboard functionality
Progressive Web App (PWA) capabilities

IMPORTANT DISCLAIMER: Listaza generates listing content using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. Users are solely responsible for reviewing, editing, and verifying all generated content before publishing to any marketplace platform.

3. Eligibility

There is no minimum age requirement to use Listaza, as the Service only generates listing content and does not facilitate actual sales transactions. However, users under 18 must have parental or guardian permission to use the Service.

By using the Service, you represent and warrant that:

You have the legal capacity to enter into these Terms
You will comply with all applicable laws and regulations
All information you provide is accurate and current

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Service, you must create an account using our magic link authentication system. You agree to:

Provide a valid email address
Maintain the security of your account access
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

4.2 Account Termination

You may request account deletion at any time by contacting legal@listaza.app. Upon account deletion:

Stored images will be deleted within 30 days
Generated listings will be deleted upon request
We reserve the right to retain certain data as required by law or for legitimate business purposes (up to 3 years for analytical purposes, unless deletion is requested)

5. Subscription Plans and Billing

Standard pricing suggestions

Pro Tier - $9.99/month:

Increased listing limits
Enhanced features (as specified in-app)
Priority support

Premium Tier - $19.99/month:

Maximum listing limits
All premium features (as specified in-app)
Priority support and early access to new features

5.2 Billing Terms

Subscription fees are billed monthly in advance
All fees are in USD unless otherwise specified
Prices are subject to change with 30 days' notice
No refunds for partial months or unused listings
Subscriptions auto-renew unless cancelled before the renewal date

5.3 Free Trial (if applicable)

If we offer a free trial, you will be charged the applicable subscription fee at the end of the trial period unless you cancel before the trial expires.

5.4 Payment Processing

Payments are processed through secure third-party payment processors. We do not store your complete payment information.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting legal@listaza.app. Cancellation will take effect at the end of your current billing period.

6. Acceptable Use Policy

6.1 Permitted Use

You may use Listaza only for lawful purposes and in accordance with these Terms. You agree to use the Service to generate listings for items you are legally authorized to sell.

6.2 Prohibited Items

You may NOT use Listaza to create listings for:

Illegal items or contraband
Weapons, firearms, ammunition, or explosives
Stolen goods or items obtained through illegal means
Counterfeit or fraudulent items
Items that violate intellectual property rights
Hazardous materials or restricted substances
Items prohibited by eBay, Facebook Marketplace, or applicable law
Adult content or services
Items that promote hate, violence, or discrimination

6.3 Prohibited Conduct

You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use automated tools (bots, scrapers) without written permission
Impersonate any person or entity
Upload malicious code, viruses, or harmful content
Resell or redistribute the Service without authorization
Use the Service to spam or harass others
Manipulate or abuse pricing suggestions for fraudulent purposes

6.4 Enforcement

We reserve the right to:

Remove or refuse to generate any listing content
Suspend or terminate accounts that violate these Terms
Report illegal activity to law enforcement
Cooperate with legal investigations

7. Intellectual Property Rights

7.1 Service Ownership

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by AstraNex Ventures LLC and is protected by copyright, trademark, and other intellectual property laws.

7.2 User Content License

When you use Listaza to generate listing content:

Your Items: You retain all rights to photographs and descriptions of items you own
AI-Generated Content: AI-generated titles and descriptions are provided "as-is" for your use in creating marketplace listings
Limited License to Us: You grant us a limited, non-exclusive, worldwide license to process your uploaded images and data solely for the purpose of providing the Service and improving our AI models (for up to 3 years, unless you request deletion)

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unlimited, irrevocable license to use such feedback without compensation or attribution.

8. AI-Generated Content and Pricing Disclaimers

8.1 AI Accuracy

Listaza uses artificial intelligence (OpenAI GPT-4o-mini) to generate listing content. You acknowledge and agree that:

AI-generated content may contain errors, inaccuracies, or inappropriate language
We do not guarantee the accuracy, completeness, or quality of AI-generated content
You are solely responsible for reviewing and editing all content before use
We are not liable for any damages resulting from AI-generated content errors

8.2 Pricing Estimates

Pricing suggestions are based on market research and AI analysis. You acknowledge that:

Price suggestions are estimates only and not guarantees
Actual market prices may vary significantly
You are solely responsible for setting final listing prices
We are not liable for lost sales, underpricing, or overpricing
Market conditions change constantly and historical data may not reflect current values

8.3 No Marketplace Affiliation

Listaza is NOT affiliated with, endorsed by, or sponsored by eBay, Facebook, or any other marketplace platform. Compliance with marketplace policies is your sole responsibility.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.

Generated listings may be stored for up to 3 years (unless deletion is requested)

Supabase (price caching and market research data)

Your use of these integrated services is subject to their respective terms and privacy policies. We are not responsible for the practices or policies of third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.2 Limitation of Damages

IN NO EVENT SHALL ASTRANEX VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOST PROFITS, LOST REVENUE, OR LOST DATA
DAMAGES RESULTING FROM AI-GENERATED CONTENT ERRORS
DAMAGES FROM PRICING ESTIMATE INACCURACIES
DAMAGES FROM SERVICE INTERRUPTIONS OR DATA LOSS
DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

11.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
$100 USD

11.4 State Law Exceptions

Update AI models or algorithms

We will provide 30 days' notice for material changes affecting paid subscriptions.

13.2 Terms Updates

We may update these Terms from time to time. Changes will be posted with an updated "Last Updated" date. Material changes will be communicated via email or in-app notification.

Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Termination

14.1 Termination by You

We may suspend or terminate your access to the Service immediately, without notice, for:

16. Miscellaneous Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AstraNex Ventures LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16.4 Assignment
